Cross-border structuring coordination in Romania

Prepare and coordinate legal and tax work when ownership, companies or family circumstances span Romania and other countries.

Start with the existing structure

A company incorporated abroad can sit alongside Romanian business interests, property and family members living in different countries. Before discussing a new holding structure, the advisers need the same account of who owns what, where decisions are made and which transfers are being considered.

We assemble that working picture and the questions for the relevant specialists. The purpose may be to simplify ownership records, prepare a change in shareholders or coordinate a review following a move abroad. Incorporating another company is not assumed to be the answer.

Information needed for a useful comparison

The initial file can include an ownership chart, company documents, existing agreements and a description of the proposed changes. We record the jurisdictions involved, the source of each document and the facts still awaiting confirmation. Personal tax residence is a question for qualified advisers, rather than an inference from a mailing address.

A comparison memorandum can bring together proposed options, specialist opinions, implementation steps and quoted costs. Legal and tax conclusions remain attributed to their authors. An option with an unanswered tax or legal question stays open; we do not present it as approved.

Coordinate dependencies across countries

We help define the brief for counsel and tax advisers, organise their questions and track the documents each requires. Work is sequenced around dependencies, for example whether an ownership change needs to precede an account application. The relevant professionals confirm the legal requirements and filings.

Before implementation, you decide which option to proceed with after reviewing specialist advice and costs. We coordinate the agreed actions with the professionals involved and maintain a record of completed and outstanding steps. Timing depends on document availability and the procedures of each institution.

What this service does not determine

Elian Partners does not issue tax opinions, determine treaty entitlement or guarantee a tax saving. We do not provide legal representation, act as a substitute for local counsel or guarantee bank acceptance of a structure.

The mandate covers preparation and coordination. Questions about substance, reporting, beneficial ownership and the tax treatment of a transaction are assigned to the appropriate specialists. A founder's experience with regulated structures does not give Elian Partners a regulatory authorisation or transfer another firm's mandate to us.
